Payment terms: |

A $15.00 handling
charge is applied to every order below $100. |

Customers pay
freight charges |

Payment terms are
net 30 days. |

Payment must be
made in U.S. dollars, with checks being drawn on a U.S. Bank. |

|
Transit Damages: |
|
Shipments should be
inspected immediately upon arrival. ALL BREAKAGE OR SHORTAGES MUST BE
REPORTED TO Corpuscular Inc. WITHIN 7 DAYS. Damaged goods should be
reported to the carrier within 48 hours of delivery and a "Damage Report"
should be filled. To ensure that you receive the proper credit, all
returns MUST be authorized. Please call our Sales department for assistance or
for return
authorization. Products returned for credit must be received by Corpuscular
within 30 days of initial shipment and they must be in saleable condition.
Returned goods will be inspected and if found not in saleable condition, a
restocking fee (25% of total invoice price) will be charged. |

OTHERWISE, SHALL NOT EXCEED THE ORIGINAL PURCHASE PRICE PAID BY YOU FOR THE
PRODUCT OR THE REPLACEMENT OF THE PRODUCT, AND UNDER NO CIRCUMSTANCES SHALL
Corpuscular Inc BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL
DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PROPERTY DAMAGE,
DAMAGE TO OR LOSS OF EQUIPMENT, LOST EXPENSES, PROFITS OR REVENUE, COSTS OF
RENTING REPLACEMENTS AND OTHER ADDITIONAL EXPENSES, EVEN IF Corpuscular Inc
HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CONSIDERATION FOR
LIMITING Corpuscular Inc LIABILITY AND YOUR REMEDY AS PROVIDED HEREIN IS
INCLUDED IN THE PRICE STATED FOR THE PRODUCT. |

Applicable Law: |

The validity of
these Terms and Conditions of Sale as well as their interpretation and
construction shall be governed by New York State law. |
